Giga Energy, unbundled: a founder's field guide
Verdict. The memo suggests Giga first built a real business by getting transformers to customers quickly, then expanded toward U.S. production and modular data centers. A new entrant should compare two simple paid offers—carefully qualified multi-country transformers and one standardized low-voltage distribution product—before copying the wider model.

00 · Start hereGiga tries to turn grid access into safely powered and cooled computing capacity—faster.
The one-sentence business. A data-center customer has land, access to electricity, and expensive computers waiting to run. Giga tries to supply and coordinate the electrical equipment, prefabricated data-center pieces, and development work needed to make those computers safely receive power sooner.
First, follow the normal path of electrical power
1 · Utility connection The grid reaches the site. Land, permits, and permission to connect must be secured before the facility can be energized; Giga markets help with that work.
2 · Medium-voltage protection Switchgear can interrupt dangerous fault current and isolate the affected circuit before the transformer.
3 · Transformer A large, heavy machine changes the voltage to the lower level the facility is designed to use.
4 · Low-voltage distribution Switchboards and related equipment safely divide and route power toward rows of computers.
5 · Protected computer load A battery-backed power system bridges short outages; servers use the power and cooling removes their heat.
Backup branch
A generator is an alternate power source, not the next step in the normal utility path. Batteries inside an uninterruptible power supply keep the computers running during the gap before a generator or utility source takes over.
Cooling branch
Cooling is a parallel support system. It moves heat away from chips and ultimately rejects that heat outdoors; it does not sit in the electrical path.
Why this matters: if any one of these links is late, incorrectly specified, or fails testing, millions of dollars of computers may sit idle.
Then, understand the two economic engines
ENGINE 1 · INVESTOR-REPORTED HISTORY
Sell equipment and execution
The investor memo reports that Giga historically sourced, tested, and sold imported transformers. Giga also publicly markets U.S.-made transformers, switchboards, substations that connect and control higher-voltage equipment, and modular power/cooling equipment; actual domestic factory output is not independently verified.
How money can be made: selling price minus equipment, freight, import duties, rework, financing, warranty, and service costs.
What the memo changes: this looks like the more established engine, historically led by imported padmount transformers—ground-level enclosed units used in local power distribution.
ENGINE 2 · REPORTED PIPELINE
Develop and finance capacity
Giga markets the ability to help secure a powered location, assemble financing, build a facility, lease it to a computing customer, and operate parts of it. The memo describes one reportedly signed lease, but completed modular-site performance and Giga's exact ownership are not established.
How money could be made: equipment profit, development or construction fees, operating fees, property income, or residual project profit—depending on Giga's contractual role.
What the memo changes: the upside could be large, but the evidence is earlier, more concentrated, and far more capital-intensive.
Evidence ladder. “Giga markets” means a public company claim. “The investor memo reports” means high-signal private diligence, not audited proof. “Reportedly signed” is stronger than a letter of intent but still needs the executed document. “Commissioned” means built, tested, and operating; this review has not established that status for a completed Giga modular AI site.
Who buys—and what are they really buying?
OWNER / OPERATOR
Needs computers online
The company that will run graphics-processing chips used for AI, cloud services, or another power-intensive operation. It ultimately cares about a safe, reliable ready-for-service date.
DEVELOPER
Assembles the site
Controls land and tries to secure power, permits, fiber, financing, and a customer. It cares about converting a site idea into a financeable project.
ENGINEERING / CONSTRUCTION
Designs and builds
The teams that engineer, buy, and construct the facility specify, approve, install, and energize equipment. They care about correct drawings, approvals, delivery, and field support.
UTILITY + APPROVERS
Can veto the plan
The utility, responsible design engineer, safety laboratory, inspector, insurer, and team that proves the completed system works can each delay or reject noncompliant equipment.
The cash and risk journey
Important: Giga's actual customer and supplier payment terms are private. The sequence below shows the contract mechanics a serious reader should ask for; it does not claim that Giga uses every step.
| Moment | Cash movement | Risk movement | Diligence question |
|---|---|---|---|
| Signed order | The customer may pay a deposit or reserve capacity; the unpaid balance remains a receivable only after invoicing. | Cancellation rights, specification changes, and customer credit determine whether “booked” demand is durable. | How much cash is nonrefundable, and what lets either party cancel? |
| Supplier commitment | Giga may owe deposits to factories and component vendors before receiving customer cash. | Giga now carries inventory, currency, tariff, factory, design-change, and supplier-failure exposure. | Do customer deposits cover supplier deposits and early work? |
| Approved drawings | A progress payment may become due when the customer approves the controlled design. | Late approvals can move the schedule; substitutions can create retesting or certification risk. | Who pays when the customer changes the design? |
| Factory test | Another milestone payment may follow a successful factory acceptance test. | The contract must say what counts as passing, who owns rework cost, and whether the customer can retain part of payment. | Does title transfer here, on shipment, on delivery, or on final acceptance? |
| Shipment + delivery | The remaining price may be invoiced, often with payment due later. | Freight damage, insurance, storage, site readiness, and ownership during transit must be allocated. | Who bears loss if the site is not ready or the unit is damaged? |
| Installation + energization | Final payment or retained cash may be released after installation, safe turn-on, or customer acceptance. | Interface errors can delay the whole facility. Accounting revenue may be recognized at a different milestone depending on contract terms. | Which event triggers acceptance, revenue recognition, and final cash? |
| Warranty period | Cash has mostly arrived, but the seller should reserve money for failures, labor, travel, and replacement parts. | Warranty liability begins at the contractually defined event and can outlast the original project team. | When does warranty start, what is excluded, and who handles an emergency? |
For a site, ask which role Giga actually owns
VENDOR / BUILDER
Equipment or project fees
Giga could earn equipment profit, a development fee, a construction-management fee, or an operating fee. These are company-level or project-level revenues tied to work performed.
PROJECT PROPERTY
Operating income before debt
Rent minus property operating costs, normally including property taxes, produces net operating income. Debt interest and principal, income taxes, major replacement spending, and some reserve treatments come after this measure.
EQUITY OWNER
What is left for Giga
Cash reaches Giga's project equity only after operating costs, lender payments, reserves, remaining construction needs, and any partner priority. The ownership and payout order are not established by the memo.
What would make Giga exceptional?
Its equipment repeatedly arrives and energizes earlier than alternatives; quality remains high as volume grows; customers reorder; the company owns the customer relationship and useful delivery data; domestic production reduces fragile sourcing; and modular sites finish on time and on budget.
What would make it ordinary or fragile?
Incumbent lead times normalize; customers buy directly from the same factories; China exposure remains concentrated; quality slips; cash tied up in inventory absorbs the growth; nonbinding site pipeline fails to convert; or site construction needs far more equity and time than forecast.
A glossary you can keep in your head
MW · megawatt
One million watts of real power. In this report it usually describes how much electrical load a site or machine can serve—not annual energy use.
MVA
A measure of apparent electrical power used to rate equipment such as transformers. It is related to MW but is not interchangeable without more information.
Transformer
Changes AC voltage. Think of it as the heavy gateway between utility-level power and equipment-level power.
Padmount transformer
A locked, ground-level transformer commonly seen as a metal cabinet outdoors. Giga reportedly derives much of its hardware business from larger commercial versions.
Switchboard
A low-voltage assembly that receives power and distributes it through conductive metal bars, breakers, switches, and meters.
Switchgear
Protection and switching equipment built for different fault, maintenance, and voltage needs. It is not merely another word for switchboard.
UL 891
A U.S. safety standard for switchboards. A listing applies to a controlled design and production system, not to any box a factory chooses to build.
FAT
Factory acceptance test: agreed checks performed before shipment to show the unit matches drawings and functions as specified.
EPC
Engineering, procurement, and construction contractor—the party often coordinating design, buying, and building.
Backlog
Orders expected to become revenue. Its quality depends on signed terms, deposits, cancellation rights, customer credit, and specification maturity.
LOI
Letter of intent. It shows interest and a proposed path, but is often largely nonbinding and should not be valued like a completed contract.
NOI + cap rate
NOI is annual property operating income before financing. Dividing NOI by a cap rate estimates asset value; it does not directly give Giga's equity value.
UPS
Uninterruptible power supply. Batteries and power electronics bridge a short interruption so computers stay online until another source is available.
Substation
A site or packaged assembly that switches, protects, measures, and often transforms higher-voltage power.
Interconnection
The technical and contractual process for connecting a site to the electric grid. Having land near power is not the same as having permission and capacity to connect.
Energization + commissioning
Energization is safely applying power. Commissioning is the broader proof that installed systems work together as designed.
Working capital
Cash tied up between paying suppliers and collecting from customers. Fast growth can consume cash even when an order appears profitable.
Contribution
What an order adds after its directly caused costs, such as freight, duties, rework, warranty, service, and financing—not merely the invoice minus factory price.
Power block
A repeatable package of transformer, distribution, protection, and related interfaces serving a defined amount of facility load.
kV · kVA · A
Thousands of volts; thousands of volt-amperes of apparent power; and amperes of electric current. They describe different properties and cannot be casually substituted.
BOM + controlled drawing
A bill of materials lists approved parts. A controlled drawing is the authoritative design revision. Together they prevent unsafe or unreviewed substitutions.
AHJ + NRTL
The authority having jurisdiction is the local enforcing authority. A nationally recognized testing laboratory evaluates and certifies products within a defined scope.
QMS + CAPA
A quality-management system controls how products are built. Corrective and preventive action finds root causes and stops defects from recurring.
SPV + distribution waterfall
A special-purpose vehicle owns one project. Its waterfall is the contractually ordered path by which project cash pays lenders, partners, reserves, and equity owners.
Unlevered yield
Property operating income divided by project cost before debt effects. It helps compare asset economics but is not the return earned by Giga's equity.
E-house
A factory-packaged electrical room or enclosure containing equipment. It is an integration format, not a type of battery or uninterruptible power supply.
SCCR
Short-circuit current rating: the fault-current level an electrical assembly can safely withstand under specified conditions.
RACI
A simple responsibility map: who is responsible, accountable, consulted, and informed for each decision or task.
One-line diagram
A simplified drawing that shows the main electrical components and connections using one line rather than drawing every wire.
Dead-front
An arrangement designed so a person at the normal operating face is not exposed to live parts.
SAFE + cap table
A SAFE is an agreement that may convert into future equity. Its valuation cap affects conversion economics. A cap table records who owns the company and how financing changes that ownership.
Offtake + notice to proceed
An offtake is a customer's contractual commitment to buy or lease output/capacity. A notice to proceed is formal authorization to begin contracted work.
Chapter 99
A part of the U.S. tariff schedule used for temporary or special duty rules. It can change whether headline tariff layers apply together.
If you remember only five things: Giga's proven-looking engine is electrical hardware; speed matters more than a claimed lowest price; distribution can scale quickly but is copyable; China concentration can turn growth into fragility; and a signed, financed, commissioned site is categorically more valuable than a megawatt in an LOI or forecast.
01 · The businessGiga combines five businesses that are usually handled by different specialists.
COMPANY-CLAIMED · 01
Powered land
Giga says it originates sites, pursues utility capacity and interconnection, and converts land plus power rights into buildable data-center locations.
COMPANY-CLAIMED · 02
Electrical equipment
Giga markets transformers, low-voltage switchboards and packaged power skids that translate utility power into protected, distributable power.
COMPANY-CLAIMED · 03
Modular AI infrastructure
Giga markets GigaPods, cooling, a 3 MW UPS system integrated in an E-house, generators, and a separately rated 3.6 MVA transformer-and-switchboard power skid. MW and MVA are different units and are not converted here. An E-house is a packaged electrical enclosure/integration format, not a category of UPS equipment.
COMPANY-CLAIMED · 04
Development + construction
Giga says it coordinates civil work, electrical integration, commissioning and schedule to turn engineered blocks and sites into operating facilities.
COMPANY-CLAIMED · 05
Operations
Giga lists colocation, power-market operations and demand response. Public operational scale and economics are not independently verified.
EPISTEMIC NOTE
What private diligence adds
An investor memo supplies estimates for revenue, gross margin, bookings, product mix, China exposure and site opportunities. These are attributed, high-signal claims—not audited results or substitutes for contracts, BOMs, factory data and customer concentration.
“Time-to-power” is useful shorthand, not a literal product. The physical equipment and services are the products. The proposed customer value is fewer handoffs and less schedule uncertainty between deciding to build and computers receiving reliable power and cooling.
| Public item | Published specification | Interpretation | Evidence |
|---|---|---|---|
| GigaPod | 45 ft; company-described “4N/3” air-to-liquid layout; scalable in 90/135 ft increments | Repeatable computer enclosure, not a complete site by itself. The reviewed source does not define the 4N/3 redundancy notation, so this report does not infer it. | Company claim |
| Medium-voltage switchgear | 24.9/35 kV, meaning thousands of volts; two incoming feeders; ten feeder breakers | Receives, controls, and protects the higher-voltage side of the site | Company claim |
| UPS integrated in E-house | 3 MW, lithium-ion | Ride-through equipment inside a packaged electrical enclosure; “E-house” is an integration format, not a UPS category | Company claim |
| GigaBase power skid | 3.6 MVA transformer + 5,000-ampere low-voltage board | Factory-integrated voltage step-down and distribution; relationship to the separate 4,000-ampere product-page rating and applicable safety-certification scope is unresolved | Company claim |
| Transformer lines | 15–10,000 kVA padmount; up to 100 MVA substation | Catalog spans materially different manufacturing regimes | Company catalog |
| UL 891 switchboards | Up to 4,000 A at 480 V on public product page | LV distribution; not synonymous with LV or MV switchgear | Giga product-page claim; UL source supports generic taxonomy only |
02 · Investor memo deltaThe hardware thesis gets stronger. The modular economics become more conditional.
How to read this evidence. The user-supplied PDF combines investor analysis, management projections and summaries of two reference calls. It is high signal because the investor spoke with Giga and counterparties, but it is not an audit, executed contract set or independent engineering report. The PDF is not reproduced or published. The user explicitly authorized incorporation into this Ink draft on 4 August 2026; the investor's identity remains withheld.
UPGRADED
What gained confidence
Historical transformer distribution was likely the core revenue engine; padmounts are reportedly the largest hardware category; shorter lead times and reliable quality reportedly win orders; and team quality plus integrated execution mattered to a sophisticated prospective customer.
DOWNGRADED
What lost confidence
A broad cost moat, mature AI-site execution and the face value of megawatt pipeline. The customer reference described pricing as roughly comparable, the first AI pods as still commissioning, and a 9–12 month current schedule—not a proven six-month delivery.
MORE CONCRETE
Vultr opportunity
The memo reports a 36 MW lease in its summary and 36–37.5 MW “on paper” in the customer reference; that reference separately describes roughly 42.5–43 MW of site critical load and more than 50 MW gross. The contractual, IT, critical-load and gross measures cannot be reconciled from the memo. The reportedly signed state is stronger than an LOI, but first-party public confirmation, executed economics, financing commitments and commissioning evidence were not found.
MORE FRAGILE
Other site pipeline
Fluidstack and Anthropic/GDA are described as LOIs or unexecuted term sheets. The management forecast appears heavily concentrated in the 285 MW Anthropic/GDA opportunity, which the narrative itself says could be disrupted by a counterparty control change.
Why the Vultr megawatt figures differ. Contracted capacity can mean what the lease promises; IT load means power delivered to computing equipment; critical load can include protected facility systems; and gross facility load can include cooling and other overhead. All may be stated in megawatts, but they measure different boundaries and must not be added or compared without definitions.
| Memo figure | Reported value | Correct interpretation | Still needed |
|---|---|---|---|
| Hardware revenue | $58.2m 2025; $180.1m 2026 plan; $314.9m 2027 plan | Investor-reported; only 2025 is presented as historical | Audited statements, recognition policy and product/customer mix |
| Hardware gross margin | 34% projected in 2026–2027 | $60.6m ÷ $180.1m = 33.65%, which rounds to 34%; not contribution or cash margin | Freight, duties, warranty, service, financing and working-capital detail |
| H1 2026 | $121m booked; $51m revenue | Useful evidence of activity, but “booked” is undefined | Deposits, cancellations, specification maturity and concentration |
| China exposure | More than 90% of hardware reportedly depends on Chinese transformers | Central strategic risk, but the memo does not define whether 90% measures revenue, units, purchases, SKUs or BOM value | POs, BOMs, origin analysis, supplier terms and transition schedule |
| Vultr scenario | $429m cost; $55m NOI; $164m Giga equity; $72m customer prepay; $193m debt | $55m ÷ $429m implies a 12.8% unlevered yield on stated cost, not automatically a valuation cap rate or equity return | Executed lease, ownership waterfall, debt commitment, reserves and capex scope |
| Fundraising / valuation | Memo reports new financing above $2bn and below a $3bn valuation cap on an agreement that may convert into future shares; investor estimates $1.5bn fair value | Private financing report and one investor's opinion | Executed financing documents, dilution, cash, debt, and the current ownership table |
Vultr valuation arithmetic
Capitalizing $55 million of NOI at 10% implies $550 million of asset value; at 8% it implies $687.5 million. Neither number determines Giga's equity value without the debt, ownership, distribution waterfall, remaining capex and reserves. The memo's stated equity outcomes should be reconciled to executed documents.
Project downside cases
Stress at least: 10%, 20% and 30% capex overrun; 6-, 12- and 18-month delay; higher debt cost; lower commissioned capacity or utilization; customer-prepayment shortfall; and 8%, 10% and 12% exit capitalization rates. A signed lease does not neutralize construction, financing or concentration risk.
The cleanest update: Giga may already be a strong hardware distribution and integration company. It is not yet proven, from this evidence, to be a repeatable modular AI-data-center manufacturer or a high-conversion powered-site developer. Those are separate bets with different evidence clocks.
03 · System mapFollow the power system from grid connection to computer racks.

Alternate-source branch
Generators connect as an alternate source to an appropriate point in the distribution system. They are not a serial stage between normal utility power and the computers. Exact topology varies by design.
Parallel cooling system
Liquid loops, piping, pumps, and chillers remove heat from the computing equipment. They operate alongside the electrical path and need their own power and redundancy.
Switchboard
A safety-listed assembly, generally at or below 1,000 volts, whose normal operating face does not expose live parts. It receives low-voltage power and distributes it through conductive metal bars, breakers, switches, meters, and protection.
Switchgear
A different category designed for particular fault interruption, isolation, and maintenance needs. Low-voltage and medium-voltage switchgear follow different standards and construction rules. The words switchboard and switchgear are not interchangeable.
04 · CompetitionThere is no exact clone; each layer has formidable specialists.
| Layer | Public competitors | Private / private-parent competitors | Giga's proposed differentiation |
|---|---|---|---|
| Full power + modular systems | Schneider Electric, Eaton, Siemens, Vertiv | — | Faster, founder-led integration across site and hardware |
| Transformers | Hitachi Energy, GE Vernova, Eaton, Hammond Power Solutions, HD Hyundai Electric | Virginia Transformer, ERMCO, Howard, Prolec GE, Maddox, MGM, Delta Star | Inventory, supply-chain access, packaged delivery |
| Switchboards / switchgear | Eaton, Siemens, Schneider, ABB, Powell | Spike Electric, Myers, ESL | UL 891 assembly and rapid custom/repeatable builds |
| Powered sites | Applied Digital | Crusoe, Lancium, Rowan, Tract, Compass, QTS, Aligned | Energy-first origination plus captive equipment stack |
| Cooling / critical power | Vertiv, Schneider, Eaton, nVent | Many integrators and OEM partners | A common modular block with one accountable interface |
| Transformer distribution | Public OEM channels and distributors | Boundary Electric and regional specialists | Memo-reported shorter lead times and reliable quality; Boundary is an investor-supplied comparator |
| Factory-modular AI sites | Eaton, Vertiv, Schneider | Northstar and a customer-reference-supplied cohort | Team, standardization, integrated electrical supply and schedule; the cohort is not independently verified as a formal qualification list |
Closest conceptual comparisons: Schneider/Vertiv/Eaton/Siemens for integrated modules and power; Crusoe for an energy-first AI-factory model. None should be treated as a perfect like-for-like.
05 · MoatsThe strongest moat is an accumulated delivery system—not a metal box.
These are qualitative evidence levels, not performance scores. The investor memo improves the evidence for team, speed, and perceived quality through one strong customer reference, but it does not establish repeatability, mature AI-site performance, or audited economics.
Faster delivery execution Emerging
One strong customer reference supports the team and expected schedule. The real test is repeated signed-order-to-energization performance.
Qualification + references Moderate
Approved designs, controlled drawings, factory-testing discipline, and reliable field history can compound; the breadth of Giga's independent reference base remains unknown.
Inventory + financing capability Plausible
Holding scarce inventory can win orders and is hard for a thinly financed startup, but it becomes dangerous if demand turns or specifications fragment.
One accountable supplier Plausible
Fewer vendor interfaces may compress schedule and blame loops, but they also concentrate warranty and execution liability.
Lower price Contradicted
The memo says 40% lower cost in one place; its Vultr reference says cost is roughly similar and timing is the bigger lever.
Powered-site pipeline Unclear
Potentially valuable, but contract state, control, deposits, grid-connection progress, financing, and conversion differ sharply by opportunity.
Patents / inaccessible process Weak
No clear public evidence shows that the core standards, sourcing model, or fabrication methods are inaccessible to competitors.
What compounds
Approved drawings, quote speed, standard libraries, supplier allocation, failure data, field-service response, repeat customers and a credible energized-reference base.
What can unwind it
Lead-time normalization, catastrophic quality events, customer concentration, working-capital stress, tariff/origin shocks, commoditized assembly and incumbents matching the schedule.
06 · China + IndiaSourcing is a qualification and origin system, not a country shopping list.
Plain-English conclusion. A low factory price is not the delivered cost. You must add freight, import duties, financing time, testing, failures, spare parts, and service. Customs treatment follows the product's real origin and exact legal classification—not merely the country on the invoice or the port it shipped from.
Dated 4 August 2026; planning scenario, not customs advice. Duty depends on the ten-digit Harmonized Tariff Schedule code, the legally determined country of origin, metal weight and origin, exclusions, entry date, valuation, and any antidumping, countervailing-duty, or forced-labor restrictions. Obtain a customs broker and trade-counsel ruling for each exact product configuration.
The memo turns concentration into the main strategic issue. It estimates that more than 90% of Giga's hardware business depends on China-sourced transformers. That estimate is not independently verified, but it makes supplier portability, truthful origin, dual qualification, customer disintermediation and the real ramp of Houston production essential diligence—not secondary procurement questions.
| Question | China-origin planning view | India-origin planning view | Founder implication |
|---|---|---|---|
| Liquid transformers | Base commonly 0–1.6% and legacy §301 may add 25%. The applicable §232 or July 2026 treatment then depends on the exact Chapter 99 path. | Base commonly 0–1.6%. The applicable §232 or July 2026 treatment depends on the exact Chapter 99 path. | Do not mechanically stack headline rates; model the exact SKU and entry date. |
| Origin | Shipping through a third country does not change origin unless the work constitutes substantial transformation. | Preserve engineering, BOM, production and marking records. | |
| Certification | A factory certificate is not the same as the correct U.S. product listing, DOE efficiency compliance, customer approval or witnessed FAT. | Qualify factory + design + critical materials + test system. | |
| Domestic claim | American company identity, U.S. engineering, testing, final assembly or warranty support does not by itself establish U.S. customs origin or support an unqualified “Made in USA” claim. | Analyze CBP origin and FTC advertising separately; use a truthful qualified claim. |
The July 2026 annex excludes enumerated Section 232 aluminum, steel, copper and derivative articles from the new country duty through heading 9903.05.90. Whether a particular transformer or board falls inside that exclusion requires an exact classification and entry analysis.
Chinese transformer path
Potentially broad capacity and cost, but currently burdened by stacked tariff, origin, geopolitical, logistics and customer-approval risk. Demand full drawings, core/winding material traceability, test data, spare strategy and witnessed FAT.
Indian transformer path
A real manufacturing base: examples include Hitachi Energy India, CG Power, TARIL, Voltamp, Bharat Bijlee, BHEL, Toshiba T&D India and TBEA India. Qualification remains factory- and design-specific.
Indian inverters
Inverters are power electronics that convert/control DC and AC; they are not transformers. Hitachi Hi-Rel and TMEIC India are examples, but firmware, grid-code, semiconductor, harmonic and cyber diligence is separate.
The preferred architecture
Dual-source critical designs, own the approved drawing and QA plan, hold high-failure spares in the U.S., establish field service, and avoid changing factories without requalification.
07 · U.S. manufacturingMaking switchboards means becoming the accountable manufacturer of a safety-critical system.
Giga's factory numbers conflict. Its current factory page says 63,000 square feet and 6 GW of annual nameplate manufacturing capacity; a December 2025 company release targeted production beginning Q1 2026, 3,000+ units and 15 GW from about 60,000 square feet. Here “GW capacity” appears to sum the power ratings of equipment the factory claims it could produce per year—it is not electricity generated or annual energy. Neither source establishes actual product mix, utilization, shipment volume, yield, or audited output.
ENGINEER
Define the assembly
One-line diagrams, load and fault current, breaker coordination, bus rating, enclosure/NEMA class, metering, controls, seismic/environmental requirements and customer-approved components.
QUALIFY
Own the compliance path
UL 891 file or listing route, label control, short-circuit-current rating, production inspections, drawing revision control and traceable approved components.
FABRICATE
Turn metal and copper into a system
Enclosure work, copper cutting/punching/bending/plating, insulating supports, breaker installation, wire harnesses, torque control, meters, relays and nameplates.
TEST
Prove every unit
Visual/mechanical inspection, torque records, continuity, insulation resistance/hipot where applicable, breaker and relay function, control logic, phase sequence, metering and customer FAT.
SHIP
Protect the last mile
Rigging and packaging, split-section reassembly instructions, storage environment, site acceptance, energized commissioning and as-built documentation.
SERVICE
Stand behind it
24/7 escalation, spare breakers and controls, field modifications under controlled engineering, root-cause analysis, warranty reserve and corrective-action loop.
The box is the easy-looking part. The actual product is the approved configuration, protection behavior, repeatable workmanship, test evidence, delivery schedule and the manufacturer's promise when a data hall will not energize.
Low-frequency, high-severity risk
An October 2025 plaintiff-law-firm release describes a complaint after a worker was severely burned during transformer energization at a Denton data-center site and names Giga among several defendants. This report did not obtain the complaint or establish who made, installed, inspected or energized the equipment, whether it was a Giga unit, or the case status. It is an allegation—not a finding of Giga fault—and a reminder that procedures, insurance and field responsibility are part of the product.
08 · Build the companyIllustrative founder assessment: replicating all of Giga is 9/10 difficult. A disciplined wedge is buildable.
| Entry model | Difficulty | Illustrative capital | What you truly own |
|---|---|---|---|
| Integrator + stocked equipment | 5–7 / 10 | $2–8m | Specification, sourcing, QA, inventory, customer and service |
| Focused UL 891 assembly | 6 / 10 | $5–20m | Design file, assembly, label, test, warranty and field response |
| Padmount transformer factory | 8–9 / 10 | $25–75m+ | Core/coil, tank, drying/oil, test and quality system |
| Medium/large transformer OEM | 9–10 / 10 | $150–400m+ | Specialized production/test bays, transport and decades of process depth |
| Powered-site developer + full stack | 9 / 10 | Hundreds of millions per project | Land/power control, interconnection, finance, development and operations |
Capital figures are founder-planning inferences, not quotes. Eaton's announced $340m South Carolina transformer plant is a useful upper-scale anchor.
Recommended initial decision, revised by the memo. Test two offers with the same buyers: (A) reserved, qualified, dual-sourced padmount inventory with U.S. QA and field accountability; and (B) one standardized UL 891 switchboard or transformer-plus-board power block. Distribution may generate revenue faster. The board or power block is more likely to accumulate controlled design, certification and service advantages. Let deposits and risk-adjusted contribution decide.
Every numeric milestone below is an illustrative validation target, not an evidence-based requirement. Management should derive its gates from runway, insurer/NRTL constraints, customer samples, defect tolerance and board-approved economics.
0–90 days
Prove the pain
Illustrative validation target: interview 30 buyers and 10 engineering/construction or commissioning teams; collect actual one-line electrical diagrams, approval cycles, prices, delay costs, and failure stories. Seek three design-partner letters of intent with deposits or paid engineering.
3–6 months
Freeze the wedge
Select voltage/current families and customer type; build the approved vendor list, UL path, QA plan, landed-cost model, warranty model and supplier dual-source plan. Hire principal electrical engineer, manufacturing/quality lead and application engineer.
6–12 months
Ship references
Partner-manufacture or assemble pilots; witness FAT; commission every unit; instrument schedule, defects and service cost. Illustrative validation gate: 10 energized references, ≥90% on-time-to-energization and no safety-critical escape; set the actual gate with customers, insurer and board.
12–18 months
Earn repetition
Launch a configurable quoting engine and drawing library; shorten approval loops; negotiate allocation; publish verified lead time. Gate: repeat orders, positive contribution after warranty/freight, and working-capital line.
18–24 months
Verticalize selectively
Only bring copper fabrication, enclosure work, transformer production or site development in-house where measured delay, margin or quality justifies the capital. Do not verticalize for narrative.
Kill criteria
No customer deposits; specifications remain too bespoke; landed gross margin fails after warranty/financing; incumbent lead times normalize below the customer's switching threshold; qualification takes longer than runway; or a credible field-service model cannot be staffed.

01What business does a Giga Energy-like company actually encompass?strategy
The portfolio contains five separable layers: powered-land and interconnection development; transformers and distribution equipment; modular power, cooling, and compute infrastructure; construction; and operations. A private investor memo adds that Giga's historical economic core was sourcing, testing, and distributing Asian transformers, with padmount units the largest hardware category. That is high-signal attributed diligence, not audited segment reporting; model every layer separately. Why it matters Different layers have radically different capital needs, liabilities, customers, and cash cycles. Blending them can hide a weak equipment business behind site-pipeline claims or vice versa. Next test Build a separate customer, margin, working-capital, qualification, and liability model for each layer, then ask target buyers which single layer they would contract from a new entrant. medium confidenceattributed private
02Should Axion launch all five layers at once to offer one accountable vendor?strategy_disconfirming
No. Founder planning inference: replicating the full stack is approximately a 9-out-of-10 difficulty because it combines manufacturing, certification, construction, power-market, real-estate, and operating risks. One-vendor accountability can attract customers, but it also concentrates schedule, interface, and defect liability. Start with one product whose certification and economics can be independently proven. Why it matters A full-stack launch would commit capital before identifying which layer contains genuine customer pull or defensible margin. Next test Present unbundled and bundled offers to the same qualified buyers and compare willingness to sign, deposit requirements, liability terms, and expected margin. high confidenceinference
03What is the highest-EVoI initial product wedge?product
Run two competing paid experiments. The durable default remains a narrow UL 891 switchboard family because it can own design authority, QA, FAT, service, and a path to an integrated power skid. The memo adds a capital-light alternative: qualify and stock dual-sourced padmount transformers, then ask customers to reserve inventory with cash. Distribution may scale faster, but it is easier to copy and more exposed to origin, tariff, and supplier risk. Why it matters The first wedge determines certification cost, factory scope, hiring, supplier dependencies, warranty exposure, and time to paid references. Next test Compare paid demand, certifiability, component lead time, and contribution economics for a switchboard, sourced padmount transformer, and integrated power skid before freezing the wedge. medium confidenceinference
04How narrowly should the first switchboard family be defined?product
Start with one 480 V dead-front UL 891 architecture, one enclosure class, a controlled breaker family, fixed bus and protection rules, and a bounded option catalog. Founder planning estimate marked as inference: target 70–80% standardized content and limit project-specific engineering to 20–30%. Do not promise ratings or substitutions outside the certified design envelope. Why it matters Unbounded customization destroys quoting speed, certification control, first-pass yield, and repeatable margin. Next test Convert recent customer one-lines into a common feature matrix and verify that most requested configurations fit one controlled architecture without exceptional engineering. medium confidenceinference
05When should power skids, cooling modules, UPS systems, or compute enclosures be added?product_roadmap
Add power skids, cooling, UPS, and compute modules only after the electrical wedge has paid references and stable FAT results. The investor memo says Giga was commissioning its first AI pods and had not yet completed an AI data center at the memo date. That is a reminder that a credible hardware history does not automatically validate a new modular system's schedule, field reliability, networking, or cluster-layout performance. Why it matters Every additional module introduces new certification, controls, thermal, firmware, commissioning, and warranty interfaces. Next test Ask design partners to rank which missing interface causes the most schedule risk and require evidence from actual project critical paths before adding a module. medium confidenceattributed private
06Who should be the initial ideal customer profile?customers
Founder planning estimate marked as inference: target electrical contractors, EPCs, developers, and owner-operators serving 5–50 MW data-center or industrial projects where schedule matters but incumbent capacity agreements do not already foreclose entry. Avoid making hyperscalers the sole beachhead because their qualification cycles, purchasing leverage, and incumbent agreements can overwhelm a startup. Why it matters The right segment must combine meaningful order size, urgent delivery, accessible qualification, and tolerable customer concentration. Next test Segment interviews by contractor, EPC, developer, and operator, then compare procurement cycle, deposit willingness, approved-vendor requirements, customization, and repeat-order potential. medium confidenceinference
07Who actually approves and buys the equipment?customers
The economic buyer may be an EPC, electrical contractor, developer, or owner procurement team; the technical authority is commonly the engineer of record or owner engineering team; and the effective veto holders can include the AHJ, NRTL, utility, commissioning agent, insurer, and operations team. The exact RACI varies by project and must be mapped before quoting. Why it matters Winning a commercial champion is insufficient if a technical or regulatory approver can reject the design late in the project. Next test Map the approval RACI and required submittals for live opportunities, including who approves substitutions, FAT, field changes, energization, and warranty acceptance. medium confidenceinference
08What customer job should the company sell rather than merely selling equipment?customers
Sell a credible date and path to safe energization: rapid quoting, controlled drawings, transparent component availability, complete submittals, witnessed FAT, coordinated delivery, commissioning support, and fast field resolution. A Vultr executive reference in the investor memo emphasized readiness date, repeatability, and the team while describing pricing as roughly similar to alternatives. The best-supported job is schedule certainty, not a blanket lowest-cost promise. Why it matters A late transformer or board can hold up an entire facility, while an unsupported speed claim can create greater losses and liability. Next test For each interview, reconstruct the last delayed energization and quantify which component, approval, or field issue actually controlled the schedule. medium confidenceattributed private
09Will claimed customer urgency survive a request for a deposit or capacity reservation?customers_disconfirming
This is unresolved and is one of the most important disconfirming tests. If buyers claim that delay is extremely costly but will not place a deposit, sign a conditional purchase order, or pay for reserved capacity, the urgency may be conversational rather than economic. Exceptions may exist for creditworthy customers with firm procurement constraints, but they must offer equivalent contractual commitment. Why it matters Deposits validate willingness to pay, reduce inventory financing, and distinguish real backlog from nonbinding interest. Next test Offer design partners a clearly specified reservation agreement with refund conditions tied to certification and measure actual signatures and cash rather than stated interest. low confidenceunresolved
10What will it take to become an accepted vendor?customer_qualification
Expect review of the listing and certified design boundary, quality system, drawings, component pedigree, short-circuit and temperature-rise basis, FAT procedures, references, financial capacity, insurance, warranty, field service, cybersecurity where controls are present, and change-control discipline. Begin with paid pilots and independent references rather than claiming equivalence to an incumbent installed base. Why it matters Approved-vendor friction can consume the entire nominal lead-time advantage before manufacturing begins. Next test Obtain qualification checklists from target customers and score every missing artifact, reference, test, insurance limit, and approval dependency. high confidenceknown
11What if transformer and switchboard lead times continue to normalize?market_disconfirming
Then a generalized shortage thesis weakens, especially for commodity distribution products. Public evidence showed severe historical transformer delays, but a congressional research source cited distribution-transformer waits near 30 weeks by the second quarter of 2025, and DOE later described normalization in parts of the market. Special components and large transformers may remain constrained, but a startup must prove a SKU-specific advantage rather than repeat an industry-wide shortage narrative. Why it matters If incumbent delivery normalizes before launch, inventory and factory investments made solely for a speed premium can become stranded. Next test Refresh competitor quotes monthly for the exact target architecture and compare promised delivery, exclusions, drawing cycle, and ready-to-energize date. high confidenceknown
12How should time-to-power advantage be measured?economics
Measure signed-order-to-approved-drawings, factory-release-to-FAT, FAT-to-delivery, and delivery-to-energized-load, then compare against the customer's counterfactual. The memo's Vultr reference expected a 9–12 month delivery and thought a six-month offer might become credible later; it did not describe six months as a present commitment. Use actual commissioned projects, not announced lead times, to establish the advantage. Why it matters Customers pay for schedule certainty at the system level, not merely a fast factory ship date. Next test Instrument every quotation and pilot with timestamped milestones, delay ownership, promised versus actual dates, and the customer's true project critical path. medium confidenceattributed private
13How should the first products be priced?economics
Price from fully landed contribution cost and the verified value of schedule certainty, not simple material markup. Include engineering, certification allocation, duties, freight, financing, FAT, commissioning, expected rework, warranty reserve, sales commission, and contractual exposure. Use quote-expiration and material-adjustment clauses when tariffs or breaker prices are not fixed. Why it matters Apparent hardware margin can disappear once field labor, financing, warranty, and schedule obligations are recognized. Next test Create a quote-level contribution model and reconcile estimated versus actual cost after every pilot, including uncompensated engineering and field service. medium confidenceinference
14What margin standard should gate continuation?economics
The private memo reports a 34% hardware gross-margin projection for 2026–2027, but it does not disclose warranty, field service, financing, duties, mix, or revenue-recognition detail. Treat that as a benchmark to diligence, not a startup entitlement. Continue only if contribution remains durable after freight, duties, rework, field support, financing, warranty reserve, and directly attributable engineering. Why it matters Low-frequency failures and long cash cycles require more protection than a superficial gross margin calculation shows. Next test Run base, defect, tariff, delay, and expedited-freight cases on signed pilot economics and compare the realized contribution after commissioning. low confidenceattributed private
15How should working-capital risk be controlled?working_capital
Use deposits, progress billing, purchase-order-backed credit, supplier terms, consignment where available, and explicit cancellation charges. Stock only common long-lead components supported by repeat demand and controlled designs. Avoid speculative finished-product inventory because customer voltage, fault current, enclosure, breaker, metering, and protection requirements can make nominally similar units unusable. Why it matters Copper, breakers, cores, freight, and work in process can consume cash months before acceptance and expose the company to cancellation or redesign. Next test Build a cash-conversion model for each candidate product using supplier payment dates, customer milestones, inventory aging, and acceptance timing. high confidenceinference
16What should count as backlog, and how much concentration is acceptable?customers
Separate signed orders from forecasts, site conversations, LOIs, and unexecuted term sheets. The memo reports $121 million of H1 2026 hardware bookings and $51 million of revenue, but does not define cancellation rights, deposits, concentration, or recognition. It also shows very large site bookings tied to an unexecuted 285 MW opportunity. Backlog should require contract state, specification maturity, customer credit, and financing visibility. Why it matters Headline megawatts can exaggerate demand while masking one-customer dependency or easily canceled commitments. Next test Create a backlog-quality ledger that assigns every opportunity a contract status, cash status, cancellation exposure, approved specification, and customer-credit assessment. low confidenceattributed private
17What role does a transformer play in the proposed product stack?transformers
A transformer changes AC voltage. Whether it provides galvanic isolation depends on its winding design. In the proposed wedge, a sourced padmount or substation transformer can be integrated with the company's switchboard, protection, cabling interface, controls, FAT, and commissioning package without requiring the new company to wind the transformer initially. Why it matters Correctly defining the transformer boundary prevents the company from confusing integration value with ownership of core-and-coil manufacturing. Next test Select representative customer one-lines and define the electrical, mechanical, protection, test, shipping, and warranty interfaces between transformer and switchboard. high confidenceknown
18Should Axion manufacture transformers from day one?transformers
No. The memo suggests Giga first scaled by distributing imported transformers and only later moved toward Houston production. A new entrant can learn through qualified partner factories, U.S. testing, traceability, and service before owning winding. However, the memo's estimate of more than 90% China dependence shows why the transition plan, dual sourcing, origin evidence, and customer ownership of the relationship must exist from day one. Why it matters Transformer manufacturing adds electromagnetic, dielectric, drying, oil-processing, heavy-handling, test-bay, and catastrophic-failure risks before product-market fit is known. Next test Qualify partner factories against the same design, audit, FAT, loss, lead-time, origin, and warranty criteria and compare them with a fully costed internal-manufacturing case. medium confidenceattributed private
19Which transformer segment should be considered first?transformers
Founder planning inference: consider a tightly specified distribution or padmount family that directly complements the first power-skid architecture. Do not begin with large power or highly customized substation transformers. Those products require specialized engineering, test bays, transport, reference installations, and long qualification cycles that are incompatible with an early startup learning loop. Why it matters Transformer categories that share a name can differ by orders of magnitude in technical risk, capital, sales cycle, and failure severity. Next test Map actual customer voltage, kVA, impedance, loss, fluid, enclosure, accessory, and utility requirements to determine whether a genuinely repeatable family exists. high confidenceinference
20How should the 2029 DOE transformer-efficiency deadline affect product planning?transformer_regulation
DOE finalized new distribution-transformer efficiency standards in 2024 with a five-year compliance window, making 2029 a design and sourcing gate. Any product expected to remain in the catalog must have a compliant core, conductor, loss design, test method, supplier documentation, and transition plan. Inventory and tooling decisions should avoid locking the company into a design that becomes noncompliant or uneconomic. Why it matters Efficiency redesign can change core material, dimensions, cost, losses, supplier qualification, and enclosure compatibility. Next test Obtain compliant design proposals and guaranteed loss data from each candidate supplier, then verify them through witnessed testing and contract remedies. high confidenceknown
21What transformer FAT and traceability are non-negotiable?transformer_quality
Require serialized materials and drawings, ratio and polarity or vector verification, winding resistance, no-load and load loss, impedance, dielectric tests, leak and pressure checks, oil or fluid records, accessory and control checks, and customer-specific tests where specified. Preserve calibrated results, deviations, approvals, photographs, shipping preparation, and impact-monitor data. Commissioning records must link back to the exact factory record. Why it matters Transformer failures are low-frequency but high-severity, and incomplete records make containment, insurance recovery, and root-cause analysis much harder. Next test Witness FAT at candidate factories using an Axion-controlled checklist and reject suppliers that cannot produce complete material, calibration, deviation, and test traceability. high confidenceknown
22Can China-origin transformers or switchboards still be economically sourced?china_sourcing
Possibly, but only through SKU-specific landed-cost and risk analysis. The investor memo estimates that more than 90% of Giga's hardware business depends on China-sourced transformers, making disintermediation and geopolitical change first-order risks rather than tariff footnotes. Independently verify POs, BOMs, substantial-transformation records, supplier contracts, and qualification portability; then apply the exact 2026 HTS and Chapter 99 path. Why it matters A mistaken tariff assumption can erase margin after the order is signed, while open Chinese capacity by itself is not a defensible sourcing moat. Next test Have a licensed broker and trade counsel classify each exact BOM, model alternative duty scenarios, verify exclusions, and obtain binding guidance where exposure is material. low confidenceattributed private
23Is India a credible alternative for transformers and power electronics?india_sourcing
Yes, India has genuine transformer manufacturing depth and selected UPS, drive, and inverter capabilities, but qualification must be factory- and model-specific. The July 2026 action generally assigns India a 10% layer, and applicable Section 232 treatment must still be checked. Compare design capability, first-pass yield, component origin, firmware support, FAT, warranty response, lead time, and service rather than assuming India is automatically domestic-content compliant or lower risk. Why it matters Country reputation does not establish the quality, origin, certification, or supportability of a particular product. Next test Audit shortlisted Indian factories, witness FAT on the target model, trace critical components to origin, and run the same landed-cost and warranty scorecard used for U.S. and Chinese options. medium confidenceknown
24Does final U.S. assembly make an imported product U.S.-origin or support a Made in USA claim?origin_and_domestic_content
Not automatically. Customs origin depends on substantial transformation, and routing a Chinese core-and-coil or finished assembly through India does not by itself change origin. An unqualified FTC Made in USA claim generally requires the product to be all or virtually all U.S.-made; qualified claims may be used only when accurate. Federal procurement is separate: the Buy American Act generally requires U.S. manufacture and more than 65% domestic component cost in 2024–2028, rising to 75% in 2029, subject to exceptions. Grant-funded Buy America rules require separate analysis. Why it matters Incorrect origin, marking, or domestic-content claims can create duty liability, False Claims Act exposure, customer rejection, and reputational damage. Next test Create a claim-by-claim origin memorandum using the actual BOM, transformation steps, component costs, procurement regime, labels, marketing language, and supporting records. high confidenceknown
25How should landed cost be calculated under the unstable 2026 tariff regime?landed_cost
Calculate customs value, base duty, each legally applicable Chapter 99 action, Section 232 treatment, fees, brokerage, bond, inland and ocean freight, specialized handling, insurance, FAT travel, expected delay, financing, spares, and warranty reserve. Model mutually valid scenarios rather than mechanically adding incompatible duties. Put classification, origin, metal content, entry date, exclusions, and tariff-change clauses into the quotation file. Why it matters The exact duty depends on the specific SKU and entry facts, and the current regime is both technically complex and under litigation. Next test Run broker-reviewed entry simulations for the target U.S., China, and India configurations and obtain customer agreement on tariff-adjustment mechanics before accepting an order. low confidenceunresolved
26Which supplier dependencies require early dual qualification?supply_chain
Prioritize grain-oriented electrical steel or finished cores, copper or aluminum conductor, breakers, bushings, tap changers, insulation, meters, relays, enclosures, and specialized connectors. Alternate components must remain within the certified design and controlled drawings; an available substitute that invalidates the listing is not a real second source. Contract for change notification, traceability, test access, spares, and warranty recourse. Why it matters A single constrained component can make startup lead time identical to an incumbent's finished-product lead time. Next test Create a component-level constraint map showing allocation status, approved substitutes, certification impact, origin, replenishment time, and financial exposure. high confidenceinference
27Is an inverter interchangeable with a transformer?inverters
No. A transformer changes AC voltage and can provide isolation; an inverter uses power electronics to convert or control electrical power, commonly converting DC to AC. Solar, battery, UPS, and variable-frequency-drive systems may contain both. Transformer qualification provides no evidence about inverter firmware, grid-code response, harmonic behavior, thermal management, semiconductor life, or cybersecurity. Why it matters Conflating the products leads to incorrect engineering, supplier qualification, certification, and warranty assumptions. Next test Separate transformer and inverter requirements, suppliers, FAT protocols, failure modes, spare strategies, and design authorities in the product plan. high confidenceknown
28How should an Indian or other overseas inverter supplier be qualified?inverters
Qualify the exact topology and model for applicable NRTL standards, grid-code behavior, fault response, harmonics, efficiency, overload and thermal performance, firmware control, cybersecurity, communications, semiconductor lifecycle, source-code or escrow protections where appropriate, remote support, and field-replaceable spares. Begin as an integration partner rather than developing proprietary power electronics unless customers demonstrate a specific unmet need. Why it matters Power-electronics failure and obsolescence mechanisms differ materially from transformer and switchboard risks. Next test Run an independent design review and witnessed performance test on the target inverter, including firmware version control, abnormal conditions, communications loss, and replacement-part availability. high confidenceknown
29What is the difference between a UL 891 switchboard, UL 1558 switchgear, and medium-voltage switchgear?switchboards_and_switchgear
A UL 891 switchboard is generally a dead-front distribution assembly rated at 1,000 V or less and no more than 200,000 A short-circuit current. UL 1558 low-voltage power circuit-breaker switchgear emphasizes compartmentalization, draw-out breakers, and short-time withstand. Medium-voltage switchgear uses different equipment and ANSI/IEEE C37 standards. The company must name and certify the actual assembly rather than use the terms interchangeably. Why it matters Misclassification can cause unsafe designs, failed submittals, invalid listings, and substantial redesign cost. Next test Have the design authority classify every proposed architecture and confirm the applicable standard, test basis, fault rating, breaker type, and customer specification. high confidenceknown
30What does becoming a credible UL 891 manufacturer require?certification
It requires controlled architectures, ratings, clearances, bus rules, enclosure designs, approved component substitutions, short-circuit and temperature-rise basis, labels, manufacturing procedures, traceability, inspection, dielectric and functional tests, and ongoing UL follow-up inspections. Each order must stay within the certified design envelope, and field modifications must be controlled so they do not invalidate the listing. Why it matters Certification is an operating discipline, not a one-time label purchase. Next test Engage UL or another qualified NRTL early, produce a certification matrix, and obtain written confirmation of the test program and permissible design variants before buying production tooling. high confidenceknown
31Should Axion own its UL file or use a partner or private-label program?certification
Founder planning inference: a compliant partner program can accelerate pilots, but long-term design authority and change control favor owning the relevant file or having durable contractual control over it. Any partner agreement must address listing continuity, component changes, data ownership, tooling, follow-up inspections, field modifications, audit access, and the right to move production. Why it matters A partner-controlled listing can become a hidden single-source dependency and undermine the claimed engineering moat. Next test Obtain written proposals for both paths and compare certification time, cost, design freedom, portability, liability, and termination consequences. medium confidenceinference
32Is a UL 891 label sufficient for project acceptance?certification
No. Acceptance can also depend on NEC compliance, AHJ review, available-fault-current and SCCR documentation, enclosure rating, utility requirements, seismic or environmental qualifications, coordination and arc-flash inputs when scoped, customer specifications, commissioning procedures, and insurer requirements. Medium-voltage or switchgear portions invoke different standards and test programs. Why it matters A listed assembly can still be rejected or unsafe in a specific system application. Next test Create a project acceptance checklist that ties every requirement to an owner, document, test, approval date, and contractual scope boundary. high confidenceknown
33What should be manufactured in-house during the first phase?manufacturing
Initially own application engineering, controlled drawings, supplier qualification, incoming inspection, final assembly where certifiable, serialization, FAT, commissioning, and service. The memo indicates that Giga's early scale came largely from sourced transformers, showing that customer accountability can precede deep fabrication. Internalize bus, enclosures, coils, tanks, or modules only when measured delay, quality, margin, or origin risk justifies the equipment and process burden. Why it matters The valuable manufacturing boundary is where control improves quality, lead time, and learning—not where owning equipment merely increases fixed cost. Next test Run a make-versus-buy analysis for each process using lead time, defect escape, certification impact, utilization, working capital, labor availability, and supplier concentration. medium confidenceinference
34What capital and facility scale should be assumed for a UL 891 assembly operation?manufacturing
Founder planning estimate marked as inference: a 20,000–50,000 square-foot operation may require approximately $5–$20 million including working capital, depending on whether metalwork and bus fabrication are internal, the test scope, and the amount of stocked breakers and material. This is an illustrative planning range, not a vendor quote or minimum requirement. Why it matters The manufacturing boundary and inventory policy can matter more to startup capital than the assembly tools themselves. Next test Replace the planning range with landlord, equipment, certification, insurance, inventory, utility, and labor quotations tied to the frozen product architecture. medium confidenceinference
35What would transformer manufacturing cost, and when should it be considered?manufacturing
Founder planning estimates marked as inference: a credible distribution or padmount transformer line may require approximately $25–$75 million or more for equipment, testing, inventory, and ramp; a large-power-transformer plant may require approximately $150–$400 million or more. Eaton's announced $340 million plant is an incumbent-scale anchor, not a startup minimum. Do not verticalize before contracted demand, qualified talent, test capacity, supplier access, and warranty evidence support the investment. Why it matters Premature transformer verticalization can convert a flexible sourcing business into a capital-intensive factory before demand and yield are known. Next test Commission a bottom-up factory design and compare its fully utilized and ramp economics with audited partner-factory performance and binding customer commitments. medium confidenceinference
36What quality system is required before shipping paid equipment?manufacturing_quality
Use controlled drawings and BOMs, serialized travelers, approved suppliers, receiving inspection, calibrated tools, documented torque, wiring verification, clearance checks, dielectric and functional testing, FAT records, nonconformance reports, CAPA, engineering change control, supplier audits, shipping inspections, and field-failure feedback. Stop unauthorized substitutions and preserve records for every delivered serial number. Why it matters The core challenge is repeatedly shipping slightly customized assemblies without losing control of fault rating, heat behavior, traceability, or field changes. Next test Build an alpha unit using the proposed production traveler and conduct an independent process audit that attempts to trace every component, torque value, test result, and deviation. high confidenceknown
37What warranty structure should Axion offer?warranty
Do not select a blanket term before matching supplier pass-through coverage, insurer conditions, expected failure modes, commissioning responsibility, and customer requirements. Define covered defects, start date, remedies, exclusions for improper storage or unauthorized modification, notice and inspection procedures, labor and freight responsibility, consequential-damage and schedule-liability limits, spare availability, and root-cause rights. Reserve cash per unit and update the reserve from actual claims. Why it matters A nominally profitable order can become uneconomic if supplier recourse, field labor, freight, or consequential exposure is misaligned. Next test Have product counsel, insurers, suppliers, and design partners review a warranty matrix, then model severe but plausible claim scenarios before signing pilot contracts. medium confidenceinference
38How should commissioning, spares, and field service be organized?field_service
Appoint an internal field-service authority, use trained regional partners under controlled procedures, maintain serial-specific documentation, stock critical spares, and establish escalation, lockout-tagout, energization, punch-list, and emergency-response protocols. Remote support should never substitute for qualified onsite personnel during hazardous work. Feed every field issue into engineering and CAPA. Why it matters Service capability is part of customer qualification and is where latent manufacturing or interface defects become visible. Next test Run a mock delivery, installation, energization, failure, and replacement exercise with the proposed service partner and insurer before the first customer energization. medium confidenceinference
39What does the Denton transformer lawsuit imply for a new entrant?safety_and_liability
An October 2025 plaintiff-law-firm release says a complaint was filed after a worker suffered severe burns during transformer energization at a data-center worksite, and Giga was named among multiple defendants. This research did not obtain the complaint or establish fault, the equipment manufacturer, whether a Giga unit was involved, or the outcome. The founder lesson is to define design, inspection, procedure, insurance, and energization responsibilities before field work. Why it matters One severe incident can create human harm, shipment stops, litigation, insurance pressure, customer loss, and liquidity risk. Next test Obtain product-liability, completed-operations, professional-liability, cargo, and workers-compensation reviews, and have independent experts audit energization and incident-response procedures. low confidenceunresolved
40Who are the relevant competitors?competitors
Layer the map. The memo names Boundary Electric as a transformer-distribution competitor. Public full-stack and modular-power competitors include Schneider, Vertiv, Eaton, Siemens, ABB, GE Vernova, Hitachi Energy, and Powell. A private customer reference also mentioned Northstar and an unverified modular qualification cohort including Armada, Orbital Industries, Mod42, NCD, Eaton, Vertiv, Schneider, Integra, Infra Partners, Clarke Pacific, and Giga. Treat that cohort as a diligence lead, not an authoritative market roster. Why it matters Competitive advantage must be evaluated product by product and customer by customer rather than against an artificial single-company category. Next test Build a live competitor matrix using exact product ratings, quoted lead time, certification, service footprint, approved-vendor status, payment terms, warranty, and integration scope. medium confidencemixed
41How can a startup win against incumbents with larger factories and service networks?competition
Do not compete on catalog breadth or balance sheet. Compete on a narrow certifiable design, faster and more accurate quoting, transparent component availability, disciplined submittals, witnessed FAT, bounded customization, field responsiveness, and one accountable interface. Win projects incumbents handle slowly or uneconomically, while refusing specifications that force uncontrolled custom engineering. Why it matters Incumbents have purchasing power, installed bases, approved-vendor status, and major capacity investments that a startup cannot outspend. Next test Run blind competitive quotes on real specifications and compare response time, exclusions, technical completeness, lead-time credibility, total cost, and customer preference. medium confidenceinference
42Which moats could become defensible?moats
The memo raises the weight on team quality, responsiveness, rapid qualification, reliable delivery, factory integration, and standardization. It lowers confidence in a price moat: the strongest customer reference called cost roughly similar. Durable moat would require repeated commissioned outcomes, controlled designs, field data, supplier allocation, service response, and customers choosing Giga even after incumbent lead times normalize. Why it matters The company needs compounding assets that improve cost, speed, reliability, or win rate with each shipment. Next test For each proposed moat, specify the accumulating asset, owner, measurement, competitor replication path, and evidence that it changes customer choice or unit economics. medium confidenceattributed private
43Is access to Chinese or Indian factories itself a sourcing moat?moats_disconfirming
No. The investor memo's reported China concentration makes supplier access look like both an enabler and an existential dependency. Asian manufacturing depth is available to multiple qualified buyers, and customers may disintermediate a distributor. Access becomes defensible only with allocation contracts, controlled designs, qualification data, traceability, warranty ownership, field performance, and a credible multi-country or domestic transition path. Why it matters Treating open supplier access as proprietary can produce overinvestment and a false sense of differentiation. Next test Ask suppliers what capacity, pricing, designs, and territories they offer competitors and require documentary evidence for any claimed exclusivity or allocation. medium confidenceattributed private
44Should Axion acquire powered land or interconnection positions at launch?powered_sites
Not at launch. The memo illustrates why: it describes Vultr as signed, Fluidstack as an LOI or unexecuted term sheet, and Anthropic/GDA as an unexecuted 285 MW opportunity exposed to counterparty-control change. Treat every megawatt through a contract ladder—conversation, LOI, executed lease or offtake, prepayment, committed financing, notice to proceed, and commissioning—before assigning value or corporate capital. Why it matters Headline megawatt pipelines can consume capital while obscuring low conversion probability and speculative rights. Next test Track lost equipment opportunities attributable specifically to site-power scarcity and diligence any proposed site through land control, queue status, utility studies, permits, fiber, customer commitment, and financing. medium confidenceattributed private
45Should Axion operate its own colocation or compute infrastructure to generate product learning?operations
Not initially. Operating infrastructure can reveal thermal, electrical, maintenance, and demand-response failure modes, but it also adds tenant, energy-price, software, cybersecurity, and project-capital risks. Obtain the early learning through instrumented customer pilots, commissioning, maintenance agreements, and structured failure reporting. Consider operations only with a contracted customer and ring-fenced project economics. Why it matters Operational learning is valuable only if it does not overwhelm the equipment business or conceal uneconomic utilization. Next test Define the telemetry and service rights required to learn from customer installations and compare that low-capital path with the risk-adjusted economics of owning a facility. medium confidenceinference
46Which hires are essential before committing to production?hiring
Recruit a chief engineer and UL program owner with final design authority, a field-commercial lead who understands EPC and data-center procurement, a quality and manufacturing leader, a supply-chain and trade-compliance owner, and a field-service authority. Add financial control early because work in process, deposits, duties, and warranty reserves are material. Do not build a sales-heavy organization before technical authority and delivery control exist. Why it matters The company cannot safely outsource design accountability, certification discipline, or energization judgment. Next test Interview qualified candidates against a written responsibility matrix and stop the launch if no experienced engineer will accept formal design authority. high confidenceinference
47How should capital be matched to the risks being financed?capital
Match each risk to its capital: equity for team, certification, product, and QA; deposits and milestone billing for inventory; asset-backed or purchase-order facilities for working capital; and ring-fenced project finance for sites. The memo's Vultr scenario requires substantial Giga equity, customer prepayment, and construction debt, showing that a signed customer does not remove financing risk. Do not fund site SPVs from equipment-company survival cash. Why it matters Long-lived equity should not finance avoidable working-capital gaps or speculative project assets when lower-risk matched capital is available. 48What should the first 24 months look like?launch_sequence
Founder planning sequence marked as inference: in months 0–3, recruit technical and commercial leaders, conduct 40 buyer interviews, select the architecture, secure component evidence, map certification, and obtain three design-partner LOIs. In months 3–6, freeze controlled drawings, build alphas, establish QMS and service procedures, and begin testing. In months 6–12, complete certification, ship paid pilots, measure actual lead time, and arrange working capital. In months 12–18, target 10–20 reference installations with no material safety event and productize a second standard family. In months 18–24, consider a power skid or selective process internalization; do not enter transformer winding without a separate gate. Why it matters A staged sequence preserves the option to stop before factory, inventory, or vertical-integration commitments become irreversible. Next test Convert the sequence into milestone-based funding tranches with named evidence, owners, budget, stop conditions, and board approval for each irreversible commitment. medium confidenceinference
49What precommitted kill criteria should Axion use?kill_criteria
Kill or fundamentally reshape the product if urgent buyers will not place deposits or sign contracts; a critical component takes as long to arrive as an incumbent's finished product; no experienced engineer will own the design; pilots remain unlimited custom work; or customers and insurers reject the qualification or warranty structure. An illustrative founder gate is a contribution margin in the mid-teens as a percentage of product revenue after freight, duties, rework, field service, financing, and warranty reserve. Management must set the actual threshold. A material safety event requires an immediate shipment stop, containment, independent root-cause review, and explicit restart approval. Why it matters Precommitted criteria prevent sunk-cost bias, growth-at-any-cost behavior, and normalization of safety or economic failures. Next test Have founders and investors approve the kill rubric before deposits, leases, tooling, or inventory commitments are made. medium confidenceinference
50What is the single highest-EVoI experiment before funding a factory?decision_test
Run a paired reservation test with the same qualified buyers: one offer for a controlled UL 891 board or power block, and one for a qualified dual-sourced padmount transformer. Require a refundable paid engineering fee or capacity deposit tied to defined certification and delivery gates. The winner is the wedge with real cash demand, portable qualification, defensible contribution, and manageable warranty/origin risk—not the larger verbal pipeline. Why it matters This experiment simultaneously tests demand, standardization, qualification, supply availability, liability acceptance, cash commitment, and unit economics before irreversible capital is spent. Next test Run the experiment under a prewritten pass, revise, or stop rubric and hold the factory decision until the evidence package is complete. medium confidenceinference

Unresolved diligence
- UL certification boundary: no public evidence establishes whether the relevant UL 891 files are Giga-owned, partner-owned, or private-label programs, or the permissible ratings and design-control boundaries.
- Manufacturing reality: actual U.S. core-and-coil winding volume, throughput, utilization, first-pass yield, test-bay capacity, warranty performance, and reconciliation of the 6 GW versus 15 GW nameplate claims.
- SKU-level customs origin: no Giga-specific BOM, substantial-transformation record, component-cost analysis, or CBP ruling was found for U.S., Indian, or Chinese origin.
- Tariff treatment: exact HTS suffix, Chapter 99 treatment, metal weight and origin, exclusions, entry date, and current litigation consequences require broker and trade-counsel analysis.
- Denton allegation: this research did not obtain the complaint or establish which party designed, made, installed, inspected or energized the equipment, whether a Giga unit was involved, or the case status.
- Commercial evidence: the investor memo supplies attributed revenue, gross-margin and booking figures, but recognition policy, contract definitions, deposits, cancellations, concentration, repeat orders and audited statements remain unavailable.
- Capital structure: the memo reports private financing and valuation terms, but executed documents, debt, project-finance commitments, liens and liquidity were not established.
- Powered-site pipeline: the memo distinguishes a reportedly signed Vultr lease from Fluidstack and Anthropic/GDA LOIs or unexecuted terms, but executed documents, land control, queue position, permits, fiber, financing and conversion remain unverified.
- Safety and reliability: field-failure rate, incident attribution, claims history, warranty reserve, corrective actions and insurer loss history are not public.
Publication rule: private-company figures are reported only as investor-memo claims and are not presented as audited results. The source PDF is not published. Current trade treatment is date-labeled and requires transaction-specific professional confirmation.
